Announcement of sponsor company selection

Dear Customers, We hope that you are all in good health and prosperity during this December. We would also like to express our sincere gratitude for your continued support.
Following the decision to commence reorganization proceedings, I, as the trustee of the reorganization company (hereinafter referred to as the "Company"), have been selecting a sponsor company through fair procedures from among many businesses that are willing to support the Company, in order to revitalize the business by selecting a sponsor company that can support the Company's business. As a result, we have selected Chiiki Mirai Group Co., Ltd. (hereinafter referred to as the "Sponsor") as the sponsor company, and with the permission of the Osaka District Court, we are pleased to announce that we have concluded an agreement to select the company as the sponsor company.
Details regarding the sponsor companies, the process and reasons for their selection, and future schedule are as follows:


1 Overview of sponsor companies

2 Background and reasons for selecting sponsor companies
The sponsor, centered around its core company, Hokuyo Construction Co., Ltd. (founded in April 1923 and incorporated in March 1952), is primarily engaged in construction and civil engineering businesses, primarily in the Kyushu region, and possesses expertise in construction and civil engineering businesses as well as a network of partner companies.
Our company operates in the construction and civil engineering business, primarily in the Kansai area, but has also expanded into the Kanto area, and we believe that by joining the sponsor's group, we can expect to achieve business synergies such as mutual utilization of engineer human resources across regions, strengthening of our network of partner companies, and improvement of technical capabilities through mutual exchange. Furthermore, by having the sponsor group, which is based in the Kyushu region, and our company, which is based in the Kansai region, belong to the same group, we believe that the entire group will be able to grow into a nationwide general construction company group.
Furthermore, the sponsor has a strong track record in M&A, which is expected to ensure a smooth business succession. In addition, as the sponsor operates a diversified range of businesses, including childcare, welfare and nursing care, it is expected that the Company's cleaning management and childcare businesses will also be managed appropriately.
As described above, the sponsor has a solid management base and a proven track record in the construction and civil engineering businesses. With the support of the sponsor, we expect to generate many business synergies and will be able to carry out a swift and rational business revitalization of our company. Based on this, we selected the sponsor with the permission of the Osaka District Court.


3 Support provided by sponsors
The Company has reached an agreement with the Sponsor to transfer its construction business, civil engineering business (excluding the renewable energy business), cleaning management business, and childcare business (hereinafter referred to as the "Successor Businesses") to the Sponsor or an affiliate of the Sponsor through a company split, and to join the Sponsor's corporate group and attempt to revitalize the businesses under the group. Details regarding the specific support provided to the Company and the repayments to creditors will be determined in the proposed reorganization plan to be formulated in the future, but the Company's policy is to formulate an appropriate reorganization plan taking into account the Company's business and financial situation, future business plans, etc.
Furthermore, the sponsor has indicated its intention to provide the necessary financial support for the continuation and expansion of our business even before taking over the Successor Business, and has agreed to provide the necessary financial support (loans) based on our financial plan at the time of the decision to commence reorganization proceedings. In addition, the sponsor has expressed its intention to provide the necessary financial support promptly and flexibly if capital needs arise in the future. This will enable us to operate our business stably going forward.

4 Future policies, etc.
With financial support from our sponsors, we will continue to operate our business stably and aim for further growth. Furthermore, taking into account the support from our sponsors, I intend to pursue the reorganization proceedings in a fair and appropriate manner so that we can formulate a reorganization plan that will enable appropriate repayment to creditors. We also plan to withdraw from the renewable energy business, which is not eligible for support from our sponsors.
At this time, we plan to formulate and submit a reorganization plan by March 23, 2026, so we ask for your patience as we move forward.
